COMPLIANCE CHECKLIST · BEFORE YOU EMAIL AN OFFER

Is Your Stock Free to Sell into China?

Not legal advice · Ask your own counsel about your agreement and transaction

A supplier’s pre-sale checklist on territory, channel and resale clauses.

Before offering branded stock to U6 for resale in mainland China, resolve the relevant contractual and regulatory questions with your own counsel and, where appropriate, the brand. U6 NETWORK TECHNOLOGY LIMITED is an independent Hong Kong wholesale buyer (registration 2813005). It is not an authorized or official distributor of any brand. U6 only buys stock that the supplier is free to sell into China, and it requires full, unredacted purchase-chain documentation before payment. This checklist highlights common contract themes—territory, exclusivity, channel limits, buyback/first-refusal and documentation—to help you prepare questions and supporting documents. It is not legal advice, does not interpret your contract, and does not provide clearance for export, import or resale.

Start the checklist

01 / FREE-TO-SELL STOCK ONLY

Why this checklist exists

U6 only buys stock that the supplier is free to sell into China. This page helps you identify questions to resolve before sending an offer. It does not provide ways to bypass territory, channel, export or buyback clauses.

If allocation or reservation terms restrict this sale, stop and ask your own counsel or the brand about the applicable process. U6 will not buy restricted stock. A China allocation alone does not establish what your agreement permits.

For U6’s buyer model, offer format and commercial arrangements, read the China distribution supplier guide.

02 / PROCEED, STOP OR ASK COUNSEL

How to use this page

Read your latest supply or distribution agreement, amendments and side letters. For each check, answer Yes, No or Unsure for the specific stock and intended China resale. Keep copies of the documents supporting your answers.

Yes: continue checking

A Yes means you can confirm that requirement is met. Continue through all ten checks; one Yes is not clearance for the whole transaction.

No: stop

Any No on a required condition is a hard stop: do not offer that stock to U6. Follow any applicable brand process before reconsidering.

Unsure: get clarification

Ask your own counsel or the brand before emailing an offer. Do not treat silence, missing wording or the absence of a China operation as permission.

All checks confirmed

Prepare a documented offer and disclose remaining restrictions. Completing this checklist or supplying a confirmation does not establish legal compliance, replace U6’s own checks or guarantee a purchase. U6 will not buy restricted stock.

03 / TEN PRE-SALE CHECKS

The checklist

Each question is framed so that Yes means the requirement is met. No means stop; Unsure means obtain clarification before offering.

  1. Territory / reserved China

Check: Does your agreement permit this stock’s resale into mainland China?

What to look for: Mainland China or Greater China reservations, named partners, and territorial exclusivity in the agreement and side letters.

If No / Unsure: If China is reserved against this sale, do not offer that stock to U6. If the territorial wording is unclear, ask your own counsel or the brand before offering it.

  2. Customer / reseller restrictions

Check: May you sell this stock to an independent buyer for resale in China?

What to look for: Restrictions on customer classes, sales to non-authorized resellers, and onward resale into China.

If No / Unsure: If U6’s buyer class or the intended resale is prohibited, do not offer that stock to U6. Ask your own counsel to clarify any uncertain customer restriction.

  3. Selective or exclusive distribution language

Check: Does your distribution arrangement allow this specific sale?

What to look for: Selective distribution describes arrangements in which a brand selects resellers using stated criteria; an agreement may also restrict onward sales. Exclusive distribution describes arrangements appointing a distributor for a defined territory or customer group. The terms and their effect depend on your agreement and applicable law; these descriptions do not determine either.

If No / Unsure: If the arrangement prohibits this sale, do not offer that stock to U6. A definition cannot settle what your contract permits; ask your own counsel if unsure.

  4. Channel limits

Check: Are the intended China sales channels permitted?

What to look for: Limits on online marketplaces such as Tmall, JD.com and POIZON, duty-free, outlets, cross-border e-commerce (CBEC), and domestic resale. Different routes may have different requirements.

If No / Unsure: If the intended channel is prohibited, do not offer that stock to U6. Disclose all channel restrictions; resolve uncertainty with your own counsel before offering.

  5. Buyback / first refusal / surplus return

Check: Have any required brand buyback, first-refusal or return steps been satisfied?

What to look for: Rights to repurchase unsold stock, first refusal before a third-party sale, surplus-return duties, and required consent or release.

If No / Unsure: If a required brand process is outstanding, do not offer that stock to U6. Complete the applicable process first. If its effect is unclear, ask your own counsel or the brand.

  6. Export / re-export clauses

Check: Do applicable export and re-export terms permit the China destination?

What to look for: Destination limits, onward-export restrictions, and consent requirements, including wording about exports outside the EEA, UK or US. An intermediate destination does not establish permission for China resale.

If No / Unsure: If export or re-export for the intended destination is prohibited, do not offer that stock to U6. These clauses can be complex; obtain your own advice if unsure.

  7. Trademark / branding / packaging rules

Check: Can the intended sale comply with the applicable branding and packaging rules?

What to look for: Rules on trademark use, sales presentation, packaging, and product labels for the intended route. U6 handles its own China sales presentation; neither party should imply brand authorization. Do not remove or alter tracking codes, labels or packaging to conceal the source or bypass restrictions, or provide false or misleading documents.

If No / Unsure: If the intended sale cannot comply, do not offer that stock to U6. Ask your own counsel about unclear requirements before offering; do not assume genuine goods alone resolve them.

  8. Documentation you can produce

Check: Can you provide full purchase-chain proof before payment?

What to look for: Full, unredacted documentation of the purchase chain supporting authenticity, plus a commercial invoice and packing list showing country of origin. Confirm that you can supply the documents for the specific units offered and are entitled to share them. Do not send confidential or personal information until an appropriate secure transfer method and any necessary permissions have been agreed with U6.

If No / Unsure: If the source cannot be documented, or the required documents cannot be shared appropriately, do not offer that stock to U6. Resolve uncertainty before offering; do not falsify documents or conceal purchase-chain information.

  9. Sanctions / restricted parties / product compliance

Check: Can the transaction meet applicable trade and product requirements?

What to look for: Sanctions, restricted-party rules, export controls, and product-category requirements that could prevent export, import or resale in China.

If No / Unsure: If an applicable restriction blocks the transaction or the goods cannot meet the requirements, do not offer that stock to U6. Ask qualified advisers to resolve any uncertainty.

  10. Written confirmation in your offer email

Check: Can you confirm in writing that this stock may be sold into China?

What to look for: A confirmation covering the specific stock, your supply or distribution agreements, and the intended China resale, with any remaining restrictions stated clearly.

If No / Unsure: If you cannot give that confirmation, do not offer that stock to U6. If unsure, get clarification from your own counsel or the brand first. A confirmation does not override a restriction.

Only proceed when all ten requirements are confirmed. If a restriction prevents the intended sale, do not offer that stock to U6. U6 will not buy restricted stock. Do not use changes to routing, shipment size, labels or documents to bypass restrictions.

04 / DOCUMENTS AND ORDER TERMS

What U6 will ask for if you proceed

Provide full, unredacted purchase-chain documentation before payment, plus a commercial invoice and packing list showing country of origin. U6 holds purchase invoices and customs declarations for goods it imports. Before transferring documents, agree an appropriate secure method with U6 and confirm any confidentiality, personal-data and disclosure permissions. If the required proof cannot be shared appropriately, U6 will not proceed with the purchase.

Payment, delivery and lead times are negotiated per order. General arrangements, subject to the agreed purchase contract, are a deposit, then the balance by bank transfer (T/T) before pickup; goods delivered landed in Hong Kong or a mainland China bonded zone, with EXW Hong Kong also possible.

Goods are inspected at U6’s warehouse in China, with quality or quantity claims raised within 30 days of arrival. Disputes are settled by arbitration in Hong Kong under the purchase contract. These are general commercial arrangements, subject to the agreed purchase contract and applicable law. The purchase contract must specify the claims procedure and arbitration terms for each order.

See the China distribution supplier guide for the full offer format and general commercial arrangements.

05 / THE LIMITS OF THIS PAGE

What this page does not do

Not legal advice. This page provides general supplier-screening questions only. It does not interpret your contract or determine whether a particular export, import or resale is lawful. A “parallel import” or “grey market” description, genuine goods, supplier confirmation or purchase-chain documents alone do not establish permission or compliance. Ask your own qualified counsel about your agreement and applicable requirements in the relevant export, transit and destination jurisdictions, including mainland China. Ask the brand about required consents or processes. U6’s review does not replace your own advice or responsibilities.

It does not make U6 an authorized distributor. U6 is an independent Hong Kong wholesale buyer and is not an authorized or official distributor of any brand.

06 / FREQUENTLY ASKED QUESTIONS

Frequently asked questions

What does “free to sell into China” mean here?

Here, it describes U6’s sourcing requirement: the specific stock must not be restricted from the proposed sale to U6 and intended resale in mainland China. Whether that requirement is met depends on your agreement and applicable requirements. Ask your own counsel or the brand if unclear. U6 will not buy restricted stock; this phrase is not legal clearance.

Is U6 an authorized distributor?

No. U6 is an independent Hong Kong wholesale buyer (company registration 2813005) and is not an authorized or official distributor of any brand.

Do you buy stock that my contract restricts from China?

No. U6 will not buy restricted stock. If territory, customer, channel, export or other applicable restrictions prevent the proposed transaction, do not offer that stock to U6. Disclosure or a supplier confirmation does not override a restriction. Resolve uncertainty with your own counsel or the brand before offering.

Is this checklist legal advice?

No. It is a general prompt list for suppliers, not legal advice or transaction clearance. It does not interpret your contract or determine legal compliance. Ask your own qualified counsel about your agreement and applicable requirements, and the brand about required consents or processes.

What is selective distribution, in plain terms?

In plain terms, a brand selects resellers using stated criteria, and the agreement may restrict onward sales. The scope and effect depend on your agreement and applicable law. This description makes no regulatory conclusion and does not establish whether your stock can be sold to U6 or resold in China. Ask your own counsel or the brand if unclear.

Why does U6 need purchase-chain documents?

To support authenticity checks, customs documentation and platform sourcing reviews; the documents do not guarantee clearance, acceptance or legal compliance. U6 requires full, unredacted purchase-chain proof before payment, plus a commercial invoice and packing list showing country of origin. U6 holds purchase invoices and customs declarations for goods it imports. Agree an appropriate secure transfer method and any necessary disclosure permissions before sharing. If the required proof cannot be shared appropriately, U6 will not proceed with the purchase.

What if only part of my lot is restricted?

Exclude all restricted or undocumented units. U6 will not buy those units even if disclosed. A separate offer may cover only clearly identified, documented units for which the proposed sale and intended China resale are not restricted. Do not divide a lot or shipment to bypass a restriction that applies to it; ask your own counsel or the brand if the scope is unclear.

Should I talk to the brand’s China team instead?

If allocation, reservation or consent terms may affect the sale, ask your own counsel or the brand to clarify the applicable process. U6 will not buy stock restricted from the proposed transaction. U6’s buyer model and offer requirements are described in the China distribution supplier guide.

How do I send an offer after resolving the checklist questions?

Email bd@youliu.com with company details, role, brands, quantities, prices, MOQ, dispatch location, restrictions, purchase-chain readiness, and a documented confirmation addressing the specific stock, proposed sale and intended China resale.
